Acceptance of the Terms and Conditions

These Terms and Conditions are entered into by and between You and Denture 4 Life Club, LLC. (“Company,” “we,” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference govern your access to and use of Denture 4 Life Club services and products.

Please read the Terms and Conditions carefully before you start to use the Service and Products. By using the Service and Products or by clicking to accept or agree to the Terms and Conditions when this option is made available to you, you accept and agree to be bound and abide by these Terms and Conditions. If you do not want to agree to these Terms and Conditions, you must not access or use the Service or Products.

Changes to the Terms and Conditions

We may revise and update these Terms and Conditions from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service and Products thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice before the date the change is posted on the Service and Products.

Your continued use of the Service and Products following the posting of revised Terms and Conditions means that you accept and agree to the changes. You are expected to check this page frequently, so you are aware of any changes as they are binding on you.

Use of the Service and Ownership of the Products

When you subscribe to the Denture 4 Life Club products and services, a legally binding contract is formed between you and the Company. You may be asked to provide various personal information relating to you, your account, your subscription, and the Products and Services. Your subscription will be successful upon payment of your first product purchase or monthly fee as described below in “Payment & Subscription” and will be confirmed via mail or email.

The Company provides the Service and Products “as-is” free and clear of any encumbrances, without any representation or warranty of any kind or nature, either express, implied, or otherwise. We make no other warranties other than as expressly stated in these terms and expressly reject and disclaim any and all other warranties of any nature, type, and/or extent whatsoever, including but not limited to fitness for a particular purpose, merchantability, and any other items. In the absence of any negligence or other breach of duty by us, our liability to you will be expressly limited to refunding to you the price paid for the products and services. Any and all claims for consequential, indirect, and/or punitive damages are expressly waived.

Scope of Service and Products

Denture 4 Life Club, LLC provides the “Denture 4 Life Club” (the “Services and Products”) program which duplicates and delivers denture(s) upon purchasing or during a five (5) year program term. The Services and Products require mutual cooperation between You and the Company to ensure dentures can be accurately duplicated.

We will provide you with a denture impression kit and instructions on how to use the mold kit. You will use the denture impression kit to create a negative mold, from which we can replicate denture(s) for you as part of the Denture 4 Life Club program.

Our Responsibilities

  1. The Company provides a denture duplication denture impression kit to allow you to capture a negative mold of your denture(s).
  2. The Company will provide denture shade guides associated with your denture(s).
  3. The Company stores records of the negative mold as delivered by You to the Company.
  4. The Company may optionally manufacture duplicate denture(s) and ship one (1) duplicate denture to You upon Your request and payment in full OR The Company may optionally manufacture duplicate denture(s) and ship one (1) duplicate denture to You upon Your request and payment of remaining balance owed during four-year program term OR The Company manufactures duplicate denture(s) and ships one (1) duplicate denture to You upon request at the end of the four-year program term or upon request anytime during the 12-month period that follows program term.

Your Responsibilities

  1. You agree that you are not under the age of 18 or that you have the consent of a parent or legal guardian to use the Products and Services.
  2. You will use the denture duplication denture impression kit within thirty (30) days of receipt to capture a negative mold of your denture(s). You agree to follow the instructions provided with the impression kit. Do not use the denture impression kit if you are allergic to silicone or have skin sensitivity to silicone-based products, modeling compounds, or the like.
  3. The accuracy of the denture impression kit and captured negative mold of your denture is your sole responsibility.
  4. You will inform the Company of your denture shade selection based on the denture shade guide provided within thirty (30) days of receipt.
  5. You will ship the negative mold to the Company within thirty (30) days of receipt.
  6. You will pay according to the terms of your purchase with Denture 4 Life Club, LLC.

In the event that you are unable to capture an accurate negative mold using the mold kit, please contact us immediately and a new denture impression kit will be sent to you. Surcharge(s) may apply (insert link to non-covered replacement items).

Payment & Subscription

According to these subscription terms, You agree to pay a monthly fee of $8.34/month (USD) for single denture or $16.65/month (USD) for full set (upper & lower dentures) during the first 48 months of your program term. Your first payment is due upon submission of your order to subscribe to the Products and Services and subsequent monthly fees are due on the first of each month.

In the event that You elect to have your duplicate denture delivered to You during the term of your subscription, payment of all remaining monthly fees shall be immediately due.

The Company accepts credit or debit cards as payment, including Visa, MasterCard, Discover, and American Express.

You agree to allow the Company to retain your payment information solely for the purpose of using “auto-pay” functionality which, when elected by You, permits the company to automatically charge or debit your payment method on the first of each month according to your subscription. The Company will use all industry standards means to retain the privacy of your personal and payment information (add link). Default on any payment may temporarily pause your access to the Products and Services. Failure to resolve unpaid dues within thirty (30) days may result in termination of the Service at the Company’s sole discretion.

Accuracy

The Company warrants the accuracy of the record of the negative mold, as performed by the Company based on negative molds sent by You to the Company. You may experience, and the Company takes no responsibility for, discomfort associated with the denture due to changes of oral anatomy or alterations made to dentures by a third-party after the original denture was manufactured.

Shade Selection

The company warrants the accuracy of the denture shade selected by You utilizing Denture4Life Club’s Shade Guide and will replace denture(s) at no cost to You to ensure accuracy of shade based on the denture shade you selected.

Shipping, Handling, & Delivery

It is Your sole responsibility to maintain accurate contact and shipping information with the Company. All costs associated with delivering product(s) to You are your sole responsibility and will be billed to you accordingly. All costs associated with returning product(s) to the Company will the responsibility of the Company, with the exception that in the event that You refuse acceptance of deliver of a shipment from the Company, or in the event you initiate a chargeback on and ordered placed with the Company, You acknowledge and agree that you will be solely responsible for all costs associated with shipping products back to the Company, repackaging costs, restocking costs, or the like.

Denture4Life Club ships only to all fifty states within the United States including Puerto Rico and the District of Columbia.

Your Right to Cancel & Refund Policy

You may cancel your order at any time prior to dispatching of the denture impression kit from the Company to receive a full refund. You may cancel the Service at any time during the four (4) year program term and any Denture 4 Life Club fees already paid are non-refundable.

Termination
We reserve the right to cancel the Services and Products in the event of your breach of these Terms and Conditions. Failure to resolve unpaid dues within thirty (30) days may result in termination of the Service at the Company’s sole discretion.

Remanufacturing of Product(s)

In the event that the product(s) contain a manufacturing defect falling with the “30 Day Manufacturer’s Warranty” below, Denture 4 Life Club will remake your duplicate denture once (one time) upon confirmation by the Company that the denture does include manufacturing defect(s). No refund will be offered for manufacturing defect(s) in the product(s).

30 Day Manufacturer’s Warranty
The Company uses only ADA approved materials. The Company warrants, for a period of thirty (30) days from the date of manufacture of the denture(s), that the denture(s) are free and clear of any and all manufacturer defects.

Shipping Insurance

Orders are defaulted with a $6.75 shipping insurance charge to  cover damaged or lost product. If you received damaged product(s) as a result of shipping, please contact Denture 4 Life Club at [email protected] Orders that have opted out of the shipping insurance will be responsible for the cost of replacing damaged product.

Mold Storage Warranty
The Company warrants, during the life of the Service, from the date of completing your negative mold, that negative mold will be stored securely by the Company for reference and use.

Disclaimer of Warranties

Products will not be replaced for general discomfort from use of the Product as a result of a faulty negative mold. Similarly, the Company does not guarantee non-reaction to the products which may result in allergic reaction. The Company uses only ADA approved materials. In the event of a reaction to the denture(s), consult a medical professional immediately.

The Company is not responsible for damage to denture(s) during use, if worn while sleeping, damage to gums or mouth, bone loss due to ill fitted denture(s), choking, or other harm to You.

The Company is not responsible for and makes no guarantees relating to the accuracy of the negative mold created by You using the mold kit.

The Company is not responsible for and makes no guarantees relating to denture(s) modified or adjusted after Your receipt of the denture(s). In the event that You experience discomfort relating to the interaction between upper or lower existing dentures, or if your dentist or a medical profession recommend discontinued use or modification of your existing denture, it is solely Your responsibility to notify the Company of any discontinued use or modification and to request a new denture impression kit from the Company.

Denture 4 Life Club, LLC is NOT A MEDICAL OR DENTAL SERVICE

Denture 4 Life Club, LLC is not a medical service and does not practice dentistry in any way, shape, or form. No licensed medical professional-patient relationship is created between you and the company when you use the services or products, nor does the company take part in or have an effect in any medical professional-patient relationship established between you and a healthcare provider, dentist, or other medical professional. This is true whether such products are provided by or through the use of the services or through any other communications from the company or any assistance the company may provide to help you.

DO NOT USE THE COMPANY SERVICES OR THE COMPANY PRODUCTS FOR EMERGENCY MEDICAL NEEDS. IF YOU EXPERIENCE A HEALTH EMERGENCY, ARE THINKING ABOUT SUICIDE OR TAKING ACTIONS THAT MAY CAUSE HARM TO YOU OR TO OTHERS, IMMEDIATELY CALL 911 AND A HEALTHCARE PROFESSIONAL.

Denture 4 Life Club, LLC is NOT AN INSURANCE PROVIDER

The Company makes no representations that any fees paid by you under the Services or Products are covered by your health insurance or other third-party payment plans. Denture 4 Life Club, LLC does not provide health or dental insurance. You acknowledge Your understanding that this Agreement is not an insurance plan nor a substitute for health insurance or other health plan coverage. You acknowledge that this Agreement does not replace any existing or future health insurance or health plan coverage you may carry. This Agreement will not cover hospital services or any services not personally provided by the Company or its employees.

Communications
You may receive disclosures, notices, documents, and information from the Company, its subsidiaries and affiliates, and their respective successors, assigns, agents and service providers (collectively, “we” and “us”) in the form of SMS, MMS, text message, e-mail, or other electronic means. You consent to using and accepting electronic signatures, records, and disclosures pursuant to this Consent to Electronic Communications. This Consent notifies you of your rights when receiving disclosures, notices and information via https://www.denture4lifeclub.com/consent-to-electronic-communications/

By using the Company website, application, or its services you acknowledge that (1) you consent to using electronic signatures, records, and disclosures; and (2) that you further consent to conduct transactions by using electronic disclosures, electronic records, and electronic contract documents.

You agree to provide us with and maintain a valid e-mail address. You must promptly notify us of any change in your e-mail address. We are not liable for any third-party fees incurred, other legal liability, or any other issues or liabilities arising from statements or notifications sent to an invalid or inactive e-mail address that you have provided.

Intellectual Property

The Services and Products are provided only for personal consumer use. The Services and Products and the Company’s website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, perform, republish, download, store, or transmit any of the material on our website or related to the Services and Products.

No intellectual property is conveyed to you in any manner. The Services and Products, technology, know-how, processes and procedures, formulae, patents, trademarks, copyrights, or any other intellectual property associated with the Company remain the property of the Company.

Geographic Restrictions
The owner of the Service or Products is based in the State of North Carolina in the United States. We provide this Service or Products for use only by persons located in the United States. We make no claims that the Service or Products or any of its content is accessible or appropriate outside of the United States. Access to the Service or Products may not be legal for certain persons or in certain countries. If you access the Service or Products from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Limitation on Liability

To the fullest extent provided by law, in no event will the company, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, Denture 4 Life Club, any content on the Denture 4 Life Club website or such other products or services, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable. The foregoing does not affect any liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Service or Products, including, but not limited to any use of the Service's content, services, and products other than as expressly authorized in these Terms and Conditions, or your use of any information obtained from the Service.

Governing Law and Jurisdiction

All matters relating to the Services and Products and these Terms and Conditions, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule (whether of the State of North Carolina or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms and Conditions or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of North Carolina, in each case located in the City of Raleigh and County of Wake, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms and Conditions in your place of residence. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect.

Entire Agreement

The Terms and Conditions constitute an entire agreement between You and Denture 4 Life Club, LLC regarding the Services and Products and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service and Products.
